Applying Financial Modeling Technique to Value and Structure Merger and Acquisition

Abstract:

S postupem globalizace, celosvětového rozvoje trhů, vývojem ekonomiky a pádem určitých regulatorních opatření se stala fúze a akvizice spolu s dalšími formami kapitálových transakcí výrazným trendem pro většinu podniků. Nárůst objemu M&A transakcí kopíruje směr započatý v USA v 80.letech a představuje nové formy spojení podniků i na ostatních trzích. Cílem práce je představit fúzi a akvizici, uvést její hlavní aspekty, porovnat hlavní celosvětové trendy a aplikovat proces přípravy pro fúzi i na český podnik.

Abstract:

Large expansion of globalization, worldwide trade development, growing economic performance and collapse of some regulatory measures are driving force to pursue mergers and acquisition along with another varieties of capital transactions. This significant trend is a common characteristic for the majority of enterprises these days. Growing volume of M&A transactions follows upward trend commenced in USA during eighties and represents new forms of business organization in the new opened markets. The aim of this thesis is to introduce merger and acquisition, outline main aspects, compare major trends and apply the merger preparation process on Czech business.
