The Term of Fundamental Breach of Contract under the Vienna Convention on Contracts for the International Sale of Goods

Abstract:

Práce se zabývá pojmem podstatného porušení smlouvy, který představuje jeden z klíčových právních institutů obsažených v Úmluvě OSN o smlouvách o mezinárodní koupi zboží z roku 1980 (tzv. Vídeňská úmluva). V první části práce jsou zkoumána specifika výkladu Vídeňské úmluvy a na jejich základě je stanovena metoda interpretace čl. 25 úmluvy, v němž je pojem podstatného porušení smlouvy definován. Vzhledem k možnosti využití historického výkladu úmluvy je druhá část věnována vývoji uvedeného pojmu v průběhu prací na unifikaci práva mezinárodní kupní smlouvy. Třetí část práce obsahuje samotný výklad čl. 25 úmluvy provedený zejména na základě množství soudních a arbitrážních rozhodnutí. Definice podstatného porušení smlouvy je nejprve rozložena na jednotlivé prvky a jsou řešeny teoretické problémy vztahující se ke každému z těchto definičních prvků. Získané teoretické poznatky jsou následně aplikovány na typické situace porušení smlouvy (pozdní dodávka, dodání vadného zboží apod.). Výsledky provedeného výkladu jsou shrnuty v "testu podstatného porušení smlouvy". V závěru se autor vyslovuje k otázce, zda je čl. 25 Vídeňské úmluvy před soudy v jednotlivých smluvních státech a před rozhodčími soudy interpretován jednotně nebo existují v jeho výkladu „národní“ rozdíly.

Abstract:

The doctoral thesis deals with the term “fundamental breach of contract“ which belongs among the key legal concepts in the UN Convention on Contracts for the International Sale of Goods of 1980 (the so called Vienna Convention or CISG). In the first part of the thesis we discuss the particular ways of interpretation of the CISG and develop a method of construction of Art. 25 thereof which provides definition of the fundamental breach of contract. Considering the usefulness of historic method of interpretation, the second part of the thesis addresses the evolution of the concept of fundamental breach in the process of unification of the law of international sale of goods. The third part of the thesis contains the construction of Art. 25 CISG based especially on numerous court rulings and arbitration awards. The definition of fundamental breach of contract is first broken down into individual elements and theoretical issues connected with each of the elements are examined. The outcomes of the theoretical analysis are subsequently applied on particular instances of breach of the international sales agreement (e.g., late delivery or delivery of non-conforming goods). The conclusions are summarized in the “test of fundamental breach of contract”. The author addresses also the issue whether the interpretation of Art. 25 CISG by the various national courts and arbitral bodies is unified or there are “national” differences in its construction.
