Different kinds of shares under the new Corporations Act.

Abstract:

Tématem bakalářské práce je rozbor druhů akcií v zákoně o obchodních korporacích, srovnání s regulací v obchodním zákoníku a identifikace problematických částí nové úpravy. Nejprve je vymezena nová i předchozí právní úprava druhů akcií. Následuje hlavní kapitola o druzích akcií, analyzující kmenové akcie, akcie se zvláštními právy, prioritní akcie a zakázané úrokové akcie. Následuje kapitola o jiných kategoriích akcií, jako jsou kusové akcie a zaměstnanecké akcie. Pozornost je věnována i otázce limitů zvláštních práv spojených s akciemi.

Abstract:

The topic of my bachelor thesis is the analysis of the different kinds of shares defined in the Business Corporations Act, comparison with their regulation in the Commercial Code and the identification of problematic issues in the amended act. First of all, I specify both the newly amended and previous definitions of the types of shares. Then, in the main chapter, I describe the different kinds of shares and analyse ordinary shares, shares with special rights, preference shares and forbidden interest shares. In the next chapter, I describe other categories of shares, such as no-par value shares and staff shares. Attention is also paid to the issue of the limitation of special rights related to shares.
