Abstract:

Diplomová práce je zaměřena na přiznaný koncern. Pro osvětlení a přiblížení tohoto tématu obsahuje práce stručné vymezení dalších institutů úzce souvisejících s přiznaným koncernem. Tyto instituty jsou obsahem prvé kapitoly. Jedná se především o následující instituty - podnikatelská seskupení, ovlivnění a ovládání. Následně je práce zaměřena na přiznaný koncern. Nejdříve jsou uvedeny materiální a formální předpoklady přiznaného koncernu, následuje vyrovnání újmy a srovnání koncernu přiznaného a koncernu bez tohoto přívlastku. Obsahem třetí kapitoly jsou práva a povinnosti osob začleněných do přiznaného koncernu. Koncernové právo, resp. nahlédnutí do této oblasti, je osvětlené až na konci této práce.

Abstract:

The focus of the thesis is on an admitted concern. In order to illuminate and approach this topic, the thesis contains a brief definition of other institutes closely related to the admitted concern. These institutes are the content of the first chapter. These are mainly the following institutes - business groups, influence and control. Subsequently, the thesis focuses on the admitted concern. First, the material and formal prerequisites of an admitted concern are presented, followed by a comparison of an admitted concern and a concern without this attribute. The third chapter deals with the rights and obligations of the persons included in the admitted concern. The law of concerns, or insight into this area, is illuminated at the end of this thesis.
