Legal aspects of performance of positions of statutory bodies in commercial companies with regard to the Commercial law and the Labour law

Abstract:

Předmětem disertační práce je problematika výkonu funkce (člena) statutárního orgánu v obchodních společnostech, resp. jeho obchodněprávní a pracovněprávní aspekty. Vedle tradičních "tuzemských" společností disertační práce pojednává o specifických znacích a právním postavení statutárního orgánu v nadnárodních společnostech (SE a EHZS), které mohou být zakládány v EU, a to na právním základě, který je jednotně stanoven příslušnými nařízeními EU. Vedle pohledu skrze právo EU a právo obchodní disertační práce nabízí rovněž pracovněprávní náhled na postavení statutárního orgánu a jeho roli v rámci obchodní společnosti. Slovní spojení "statutární orgán" nemá žádný obecný význam, a jedná se tak pouze o český legislativní termín, který v obdobném významu ostatní členské státy EU nepoužívají. Na úrovni EU se tento pojem rovněž nepoužívá, a tedy není jeho obsah vymezen žádným závazným právním aktem EU. Tedy význam legislativního termínu statutární orgán a jeho právní reflexe je z těchto důvodu "čistě" českou zkušeností. Pod tímto termínem lze obecně rozumět orgán právnické osoby, který je stanoven v "zakladatelském dokumentu" nebo lépe vyjádřeno v zakladatelské listině (smlouvě) nebo ve stanovách, vždy zaleží na formě dotčené právnické osoby. V koncepci českého obchodního práva je statutárním orgánem orgán tvořený osobou (individuální statutární orgán) nebo osobami (kolektivní statutární orgán), který je stanoven přímo zákonem a má vždy působnost representovat obchodní společnost navenek - tedy podepisovat a jednat jménem obchodní společnosti. Disertační práce rovněž podává rozbor právního postavení a vztahu mezi statutárním orgánem a obchodní společností, jakož i jinými osobami pracujícími pro obchodní společnost nebo osobami, které jsou oprávněny obchodní společnost zastupovat navenek. Zvláštní kapitola disertační práce je věnována problematice souběhu funkce statutárního orgánu s pracovním nebo obdobným poměrem, a to z pohledu právní slučitelnosti takového souběhu a jeho interních a externích dopadů.

Abstract:

The subject of the dissertation is the performance of positions (functions/offices) of members of statutory bodies (organs) in commercial (business) companies with the respect to the Commercial Law and the Labour Law. Besides traditional "domestic" companies the dissertation deals with special features and the position of statutory body in supranational companies, which may be established (formed) throughout the EU upon legal conditions, which are uniformly determined in relevant EU regulations. Apart from the commercial and EU legal point of view the dissertation offers the Labour law insight into the matter. It is to be stressed that the phrase "statutory body" does not have a common meaning, or better expressed it is only a Czech legal term not recognized in such a respect in the other EU member states. The EU wide comprehension of the term does not exist and its legal characteristic is not subject to any EU legally binding act. The import of the term statutory body and its legal reflection is due to this fact a "single" Czech experience. Generally under this term is to be understood each corporate body (organ) that is determined in the "instrument of constitution" or better expressed in a founding deed or statutes depending on the type of a commercial company. In the Czech Commercial Law conception is a statutory body a person (individual statutory body) or group of people (collective statutory body), who has a capacity to represent the company externally - to sign and to act in the name of a particular commercial company. Finally the dissertation analyses the legal position and relationship between the statutory body and the company itself, inclusive of employees working for the company and other people, who are entitled to represent the company externally. The special chapter of the dissertation is dedicated to the matter of concurrence of position of statutory body with an employment or other similar relationship, in a view of legal feasibility and internal and external aspects of such a concurrence.
