Liability for Defects in CISG - Theoretical Analysis

Abstract:

Tato práce se zabývá teoretickým rozborem odpovědnosti za vady v režimu Úmluvy OSN o smlouvách o mezinárodní koupi zboží s důrazem na judikaturu, zjištěné poznatky jsou doloženy na příkladech z judikatury. Nejprve pojednávám o kupní smlouvě v mezinárodním prostředí a Vídeňské úmluvě obecně, pak se věnuji pojmu odpovědnosti za vady a charakterizuji jednotlivé druhy vad. V této části také definuji, jaké náležitosti musí splňovat zboží bez vad a zmiňuji také okamžik přechodu nebezpečí. Dále jsou specifikovány podmínky uplatnění nároků z vadného plnění, povinnosti prodávajícího a kupujícího a reklamační proces s důrazem na vady zjevné a skryté. Podstatná část mé práce je věnována jednotlivým nárokům z vadného plnění, obsahuje jejich rozbor s odvoláním na judikaturu. Nejsou opomenuty ani okolnosti zániku práv kupujícího z vad zboží a problematika zachování zboží.

Abstract:

This work deals with the theoretical analysis of liability for defects in the United Nations Convention on Contracts for the International Sale of Goods (CISG) with an emphasis on the case law, all findings are documented by case law examples. At first I deal with the purchase contract in an international environment and the CISG in general, then I handle the concept of liability for defects, and I describe the different types of defects. This section also defines how the goods without defects should be, which requirements have to be met and it also mentions the passing of the risk. Further it is specified under what conditions the defective performance could be claimed. It outlines the obligations of the seller and the buyer, and deals with the complaint procedure with emphasis on the obvious and hidden defects. The substantial part of my work is devoted to single claims of the lack of conformity including their analysis with references to the case law. Neither there are omitted the circumstances of the termination of the buyer's rights of the defective goods and issues related to the preservation of the goods.
