Choice of Court in Private International Law

Abstract:

Diplomová práce je zaměřena na otázku charakteru prorogační smlouvy z hlediska hmotněprávních a procesněprávních standardů a jejího vztahu k ostatním smluvním ujednáním (tzv. smlouvě hlavní). Předmětem práce je tak otázka právní povahy dohody o příslušnosti soudu. Odpověď na tuto otázku je totiž nutnou premisou k zodpovězení dalších navazujících otázek souvisejících s existencí prorogační smlouvy. Cílem práce je pak analýza a zhodnocení různých teoretických přístupů k hodnocení povahy dohody o prorogaci. Vzhledem k tomu, že je prorogační dohoda svými vlastnostmi a funkcí analogická rozhodčí smlouvě, je v práci použita zejména metoda srovnání (komparace). Cílem práce je také alespoň částečně přispět k otevření diskuse české právní teorie na toto téma, neboť ta v poslední době (až na výjimky) poněkud ustrnula.

Abstract:

The thesis focuses on the legal nature of the choice of forum agreement from the point of view of procedural and substantive law. It also deals with the relationship between the choice-of-forum agreement and the main substantive contract. In short it is focused on problematic aspects of the legal character of the jurisdiction agreement. Determining the legal character of the jurisdiction agreement is an important premise for finding out how to solve other problematic situations connected with the existence of choice-of-forum agreement. The aim of the thesis is to analyze different theoretical approaches to the concept of the characteristic of the jurisdiction agreement. Due to the fact that jurisdiction agreement is in its legal nature and purpose analogous to the arbitration agreement, a comparative method is primarily used in the thesis. The goal of the thesis is also to contribute to open discussions of the Czech legal theory on this topic, as it has stagnated recently.
