Abstract:
Práce popisuje obsahové náležitosti stanov akciových společností, proces jejich přijímání a změn. Dále srovnává dosavadní právní úpravu obchodního zákoníku a novou právní úpravu zákona o obchodních korporacích platnou od roku 2014 a poskytuje doporučení vybraným akciovým společnostem, jaké náležitosti ve svých stanovách by měly změnit, aby odpovídaly současné právní úpravě.

This work describes the content requirements of the articles of join-stock company, the process of their adoption and adaptation and their changes. Moreover, it compares the previous law of the Commercial Code and the new law of business corporations valid from 2014 and provides recommendations on selected join-stock companies, what content requirements of their articles should be change to reflect …more
