Podle § 391 odst. 1 zákona o obchodních korporacích se k přijetí rozhodnutí valné hromady o přechodu všech ostatních účastnických cenných papírů společnosti, tzv. vytěsnění neboli squeeze-outu, vyžaduje předchozí souhlas České národní banky. Pursuant to Section 391(1) of the Business Corporation Act, the prior approval by the Czech National Bank is required for squeeze-out, also called freeze-out, in a publicly traded company. This thesis examines the meaning of this requirement and therefore the role of the Czech National Bank in squeeze-out of minority shareholders.
