Protection of the weaker party when concluding a contract

Abstract:

Tato diplomová práce poskytuje náhled na problematiku konceptu pojetí slabší strany a její ochrany při uzavírání smlouvy. Práce se věnuje základním zásadám soukromého práva s ohledem na vliv zásady slabší strany. Dále je pak část zaměřena na kontraktační proces a další aspekty uzavírání smluv, jako je předsmluvní odpovědnost a smlouva o smlouvě budoucí. Dále následuje vymezení a způsoby dělení obecných nástrojů, které právní úprava k ochraně slabší strany poskytuje, jako je lichva a neúměrné zkrácení. V závěru práce představuje specifické kontraktační procesy v souvislosti s uzavíráním smlouvy se slabší stranou, konkrétně smlouvy uzavírané adhézním způsobem a smlouvy uzavírané se spotřebitelem a úpravu ochrany zaměstnance a nájemce, jakož tradičně uváděné slabší strany.

Abstract:

This thesis provides an insight into the concept of the weaker party and its protection in concluding a contract. The thesis deals with the basic principles of private law with regard to the influence of the weaker party principle. Furthermore, the part focuses on the contracting process and other aspects of the concluding contracts, such as pre-contractual liability and the agreement to agree. This is followed by the definition and methods of dividing the general instruments for the protection of the weaker party, such as usury and laesio enormis. At the end of the thesis, it presents specific ways of regulation in concluding contracts with a weaker party and types of contracts in which the mentioned figure of the weaker party appears and the regulation of protection of employee and tenant, as traditionally mentioned weaker parties.
