Sales Contract

Abstract:

Cílem bakalářské práce je podat ucelený popis kupní smlouvy a její právní úpravy právním řádě ČR. Větší část této práce jsem věnovala historii kupní smlouvy. Je zde popsána historie v občanském právu, která byla zaměřena na naše území a jak naši předchůdci s „kupní smlouvou“ pracovali už v pozdní době kamenné. V první kapitole je tedy popsána historie od počátku až po novelu občanského zákoníku z roku 1992. Druhá kapitola se zabývá právní úpravou v právním řádě, tedy jak je definována kupní smlouva podle občanského a obchodního zákoníku. Třetí kapitola se snaží popsat předsmluvní odpovědnost stran podle občanského zákoníku. Náležitostem kupní smlouvy se věnuje čtvrtá kapitola, kde je podrobně zmíněno jaké jsou závazky kupujícího a prodávajícího. V poslední kapitole tedy páté je rozvedena odpovědnost z vadného plnění a související nároky stran. Hlavním cílem je tedy poskytnutí čtenářům informace o tom, jak se kupní smlouva vyvíjela od jejího počátku, a jak má vypadat kupní smlouva v současné době.

Abstract:

The objective of this thesis is give a comprehensive description of the purchase contract and its regulation in the legal systém of the Czech republic. The larger part of this work I dedicated to the history of the purchase contract, There is also described the history of civil law, which focused on our territory and how our predecessors with the contract already worked in the late Stone Age. The first chapter describes the history from the beginning to the amendment to the Civil Code of 1992. The second chapter deals with the legislation in the legal system, therefore, is defined as the purchase contract under the Civil and Commercial Code. The third chapter tries to describe the pre-contractual liability of the parties under the New Civil Code. Conditions of the contract pays the fourth chapter, which is discussed in detail what are the obligations of the buyer and seller. In the last chapter, a chapter five is distributed responsibility of defective performance and related parties demands. The main aim is to provide readers with information on how to purchase agreement evolved since its inception, and how to look like a sales contract currently.
