Abstract:

Táto diplomová práca sa zaoberá základnými aplikačnými problémami súvisiacimi s inštitútom zastrešujúcej doložky v medzinárodnej investičnej arbitráži, predovšetkým problémom rozsahu obligácií spadajúcich pod zastrešujúcu doložku, ako aj účinkami, ktoré môže spôsobovať. Za účelom vyjasnenia predostretých tém a ako nevyhnutný dôsledok existencie rady incidenčných otázok, sa zaoberá taktiež klarifikáciou nejasnej hranice medzi nárokom vyplývajúcim z porušenia bilaterálnej investičnej zmluvy a nárokom vznikajúcim z porušenia investičného kontraktu. V závere sa táto práca venuje jurisdikčnej otázke vzájomnej interakcie voľby fóra obsiahnutej v investičnom kontrakte a spôsobu, ako dokáže ovplyvniť prístup investora k investičnému tribunálu založenému na základe ustanovenia o riešení sporov obsiahnutého v bilaterálnej investičnej zmluve. S cieľom priniesť ucelené a zrozumiteľné zhrnutie poznatkov, táto práca analyzuje vybranú vzorku rozhodnutí arbitrážnych tribunálov, ako aj doktrinálnych prác známych svetových autorov. Súčasne autor však prezentuje svoj kritický názor na riešenú problematiku a na základe získaných poznatkov formuluje vlastné závery.

Abstract:

This diploma Thesis firstly addresses the main issues related to the application of the umbrella clause in international investment arbitration, particularly the questions of scope of obligations covered and effects the umbrella clause may produce. Secondly, as the legal implications of the umbrella clause are inextricably linked to a set of incidental questions, necessary considerations are also provided in respect thereof. With a particular focus on one of them, i.e. the proper differentiation between contractual and treaty claims, this Thesis explains tribunals’ approaches how to properly distinguish the two categories. The last topic discussed is the interaction between the states’ consent to arbitrate as enshrined into the BIT’s investor-state dispute settlement and eventual forum selection clause encompassed in the investment contract. The clarifications are provided on the basis of analysis, performed on the selected group of arbitral awards as well as using the doctrinal considerations of well-known publicists. The outcome is a comprehensive summary of the approaches that developed throughout the case law, commented by the Authors own insights into how these issues presented, should be regarded in the future.
