Abstract:

Tato diplomová práce si klade za cíl obecně popsat problematiku sporů vznikajících z mezinárodních investic mezi státy a občany druhých států a formu jejich řešení dle Washingtonské úmluvy. Diplomová práce začíná vymezením historických souvislostí od nejprimitivnějších forem řešení sporů z období kmenové společnosti až po současnost. V další kapitole se práce zabývá rozborem klíčových pojmů a definováním mezinárodní investice jako pojmu ekonomickému, zabývá se zde rozborem mezinárodních investic přímých a nepřímých a samozřejmě nelze opomenout vymezení pojmu mezinárodní investice dle Washingtonské úmluvy. Daná kapitole pak řeší definování a aplikaci pojmu státu jako strany sporu a samozřejmě je zde věnována i pozornost termínu občan druhého státu. K definicím jsou připojeny i některé rozhodnutí Mezinárodního střediska pro řešení sporů z mezinárodních investic, na kterých dochází k demonstraci jednotlivých modelových situací vykreslených v rámci definování pojmů. Dále je zde nastíněna problematika dvoustranných dohod o ochraně a podpoře investic, jejich využíváni a několik sporů, vzniklých z důvodu nedodržení těchto dohod, které byli nakonec předmětem rozhodčího řízení před Mezinárodním střediskem pro řešení sporů z investic. Další kapitola je věnována Mezinárodnímu středisku pro řešení sporů z investic, kde se také nachází podrobný rozbor Washingtonské úmluvy. Jsou zde řešeny otázky jurisdikce Mezinárodního střediska a nachází se zde také analýza několika zajímavých případů, ve kterých se rozhodčí soud zabýval právě otázkami definování limitů, dle kterých je možno uznat jurisdikci střediska. Samozřejmě je zde poskytnut stručný popis organizační struktury Střediska a složek zabezpečujících jeho fungování. Čtvrtá kapitola je věnována rozboru průběhu řízení před Mezinárodním střediskem pro řešení sporů z investic od prvotní žádosti pro započetí rozhodčího řízení, až po možnosti využití opravných prostředků vůči rozhodčímu nálezu, vydaného Rozhodčím soudem. Jelikož je tato kapitola věnována řízení před Střediskem, je zde uveden i podrobný rozbor případu Phoenix vs. Česká republika, který se těší v dnešní době velké popularitě a daný rozhodčí nález sám se zabývá analýzou několika klíčových pojmů, jako jsou občan druhého státu nebo otázkou státní příslušnosti právnické osoby. Poslední kapitola je věnována podrobné analýze vztahu Washingtonské úmluvy k pravidlům řešení sporů UNCITRAL a vymezení základních pojmů.

Abstract:

This master thesis deals with the issue of Investment dispute settlement between states and citizens of other states according to the Washington Convention 1965. The main goal of this thesis is to describe the issues arising from the international investments which are made by nationals of other contracting stats to the host State. In the opening statement there is a short introduction of the main reasons why do investment disputes between states and nationals of other states arise. The biggest reason for this huge increase of number of the investment dispute settlement cases that happened in the period of last couple of years is the fact that thanks to the economic development there was an huge expansion of foreign investments within the countries all over the world and mostly the disputes between the investor and the state arise in the third world countries where the political regime is not so democratic and mostly investors are violated in their rights. In the second chapter there is given a historical overview that provides us with better understanding of the way how international dispute settlement has developed thought so many years. Third chapter is dedicated to the topic of defining an investment as foreign investment for the needs of Washington treaty and then it identifies the State as a contracting party for the purposes of the treaty and later on it deals with the questions of nationality of nationals of other states and the question of nationality of legal entities .Defining these main points helps the arbitral tribunal with the establishment of the jurisdiction of the ICSID over the argued dispute. International center for investment disputes is further analyzed in the chapter IV. Where you may find a deep analysis of the Washington treaty, later on the chapter deals with the problem of jurisdiction of the Center and all the conditions that need to be meet in addition to create the jurisdiction of the Center, to decide the disputed which arises from the foreign investment. Also you may find short introduction of the organization structure of the Center and also some information about the list of Arbitrators. The fifth chapter describes the basic process f arbitration under the auspices of the ICSID, from the filling out the request for the arbitration to the issuance of the award. Later is this chapter provided with the analysis of Phoenix action Ltd v Czech Republic award, which plays an important role in defining the investment and good faith principle in accordance to create jurisdiction for the ICSID. Last chapter presents briefly the differences between the arbitration proceeding under the UNCITRAL rules and under the Washington treaty.
