Risk Management for Building Company Expanding to Israel

Abstract:

V práci je popsána a analyzována za pomoci analytických metod SWOT a PEST příprava stavební společnosti ALLSTAV GROUP a.s. pro vstup na zahraniční stavební trh, jmenovitě Izrael. Cílem práce je zhodnocení rizik, která souvisí s takovým krokem, a navržení vhodné organizační struktury společnosti, která zajistí úspěšné řízení rizik ve společnosti. Předpokladem je, aby rizika spojená se vstupem na zahraniční trh byla minimalizována. Součástí práce je objasnit jednotlivé fáze a procesy přípravy vstupu stavební společnosti na izraelský stavební trh. V rozhodovací oblasti přípravy se soustředím na hodnocení globálních rizik, a to geografických, finančních a politických, stejně tak na hodnocení zkušeností firem, jež v Izraeli působily. Ve fázi přípravy společnosti na mezinárodní trh stavebních prací analyzuji právní, pracovně právní, daňové a finanční prostředí v Izraeli, vyznačím rizika spojená s tímto krokem a současně poskytnu návod jak rizika eliminovat. Práce posoudí vhodnost založení dceřiné společnosti s ručením omezením (Ltd) registrované v Izraeli či registrované pobočky (branch), která může být partnerem ve společném stavebním podniku Joint-Venture. V závěru práce navrhuji organizační strukturu mateřské společnosti a společnosti JV, když v obou společnostech charakterizuji systém řízení rizik. Předpokládám, že moje bakalářská práce může být návodem, jak začít s přijatelnými riziky stavět v Izraeli.

Abstract:

This thesis describes and analyses using analytical methods SWOT and PEST the preparation of construction company ALLSTAV GROUP Inc. for an entry onto foreign construction market, namely Israel. The goal of this thesis is the evaluation of risks which may occur during this act and proposition of appropriate company structure which assures correct risk management. The presumption is that risks of the entry onto foreign market are minimized. Part of this thesis is to make clear each individual phase and preparation processes of the entry of the company onto Israeli construction market. In decision part of the preparation I focus on the evaluation of global risks, that is both geographical, financial and political, as well as evaluation of experience of companies which were present on Israeli market. In the phase of preparation of the company for international market of construction work I analyze legal, labor-legal and tax and financial environment in Israel. I shall point out the risks linked with this step and also offer a manual of how to eliminate such risks. This thesis evaluates the suitability of setting up a subsidiary company with limited liability (Ltd.) registered in Israel or a registered branch, which can act as a partner in Joint-Venture construction company. In the conclusion I outline organizational structure of parent company and Joint-Venture company, supposing that both companies practice risk management. This bachelor thesis may be a manual for how to begin building in Israel with reasonable risks.
