Agency theory in private corporations

Abstract:

Tato diplomová práce pojednává o teorii zastupování v soukromě právních subjektech. V textu je zasezena teorie zastupování do kontextu vztahů mezi managementem a vlastníky firem jakožto agentem a principálem. Zmíněny jsou jevy vyplývající ze zastupování principála agentem. Zdůrazněny jsou náklady zastoupení, kterých je nutné si při řešení této problematiky povšimnout. Autor se zaměřuje na nástroje pomáhající eliminovat negativní dopady vztahů agenta a principála. Součástí práce je realizace zjištění stavu zastupování v českém podnikatelském prostředí. Cílem práce je komplexní definice teorie zastupování a pojmenování příčin vzniku tohoto fenoménu, vytvoření modelových situací ve vztazích agenta a principála, včetně zjištění stavu v podnikatelském prostředí. Ze zjištěných dat je provedeno vyhodnocení, ze kterého jsou abstrahována praktická doporučení.

Abstract:

This diploma thesis deals with the agency theory in private corporations. The agency theory is set in the context of relations between management and business owners as an agent and principal. The phenomena resulting from the representation of the principal by the agent are mentioned. Emphasis is placed on the agency costs, which must be reflected for seeking of solution of the issue. The author also focuses on tools that help eliminate the negative effects of agent-principal relationships. Part of the work is the finding of the state of representation in the Czech business environment. The aim of the work is a comprehensive definition of the agency theory and naming the causes of this phenomenon, the creation of model situations in the relations between the agent and the principal, including research of the situation in the business environment. An evaluation is performed from the obtained data, from which practical recommendations are abstracted.
