The establishing of stock company

Abstract:

Annotation This study is dedicated to the establishing of stock company and all the legal procedures that involve establishment of such company. This material and concept of founding a new company has been comprehensively described in this assignment. The introduction and first part of this assignment is dedicated to explanation of terms connected with stock company: Stock company as the name implies is based on personal ownership of stocks and thus its owners own stocks as shares of the company. There are many types of shares that can be bought on the stock market some of them even carry certain rights such as right to vote on the general assembly of share holders. After the explanation of certain implications of this company the study then describe all the legal procedures crucial for an act of establishing this stock company. First there has to be an establishment contract or foundation charter which states all the information and decisions that had been made by the new owners of a company. The articles in the establishment contract are to state boundaries of responsibility and duty. As the establishment of the company is finished the foundation of a company is a consequent step. The company needs to be charted and listed on the commercial court to be legally founded and to perform its functions. Stock companies are one of the most advanced companies in the world .

Anotácia Táto práca je venovaná založeniu akciovej spoločnosti a všetkým náležitostiam, ktoré sú spojené so založením tohto právneho subjektu. Tento materiál tvorí ucelený a komplexný pohľad na vznik akciovej spoločnosti a jej právne úpravy v rámci legislatívy Slovenskej republiky. Úvodná časť je venovaná vysvetleniu základných pojmov súvisiacich s akciovou spoločnosťou, s jej vlastníctvom ako aj s jej vedením a kontrolou. Dostatočný priestor je venovaný objasneniu pojmov ako predstavenstvo, valné zhromaždenie a dozorná rada. Rozsiahla časť práce je tiež venovaná právnej úprave kompetencii pre jednotlivé orgány riadenia v akciovej spoločnosti. Telo práce obsahuje spôsob akým sa dá akciová spoločnosť založiť a tiež podmienky jej vzniku. Práca vysvetľuje aj pojmy spojené s druhmi akciových spoločnosti a jej akcionármi. Priestor je venovaný aj pôsobeniu akciovej spoločnosti v rámci slovenskej ekonomiky ,ale aj akciovým spoločnostiam v zahraničí a vstupu ich kapitálu do akciovej spoločnosti. Záver práce obsahuje dopad akciových spoločností na našu spoločnosť a ich spôsob riadenia, kde sa diferencujú role majiteľov a výkonných pracovníkov v tejto inštitúcií.
