Non-cash Contribution to Authorized Capital

Abstract:

Bakalářská práce se zabývá problematikou vzniku obchodní korporace, kde základní kapitál je tvořen formou nepeněžitých vkladů. Práce vymezuje pojem základní kapitál a zevrubně se zabývá pojmem nepeněžitý vklad. Popisuje jednotlivé kroky, při kterých se z majetku vkladatele stává majetek společnosti. Charakterizuje nejčastěji využívané druhy vkladů a jejich způsoby splacení. Pozornost je věnována převážně vkladům před vznikem korporace, ale zpracovány jsou i dopady na vklad po vzniku korporace. Závěrečná část pojednává o vlivu unijního práva na oblast základního kapitálu a nepeněžitých vkladů s ním spojených.

Abstract:

The bachelor thesis is concerned with the topic of Business Corporation, where the authorized capital is consisted of the non-cash contribution. Thesis defines the notion of authorized capital and precisely describes the notion of non monetary deposits. Thesis describes individual steps, which transform the property of the contributor into the property of the corporation. Thesis characterizes the most often used forms of contribution and its means of instalments. The main attention is focused on the contribution before the inception of the corporation, but the impacts on the contributions after the inception of the corporation are described as well. The conclusive part is concerned with the influence of the Union law to the area of the authorized capital and non-cash contribution within.
