Necessity of trust fund in private law

Abstract:

Tato práce se zabývá otázkou potřebnosti institutu svěřenského fondu v aktuální české právní úpravě. Pomocí vědeckých výzkumných metod; metody heuristické, analýzy, syntézy, indukční, specifikační, analogické a subsidiárně metodou komparační rozebírá jeho nynější úpravu, konfrontuje jí s instituty, které mají z hlediska obecné teorie hypotézy právních norem synonymickou konstrukci a z hlediska teorie dispozice by ji mohly substituovat, zároveň abstrahuje jejich odlišné prvky, které nejsou v přímé korelaci s úpravou svěřenského fondu a uvádí důvody tohoto názoru společně s možnými důsledky v návaznosti na teoretické uskutečnění tohoto dogmatu a v závěru práce vyvozuje k této dílčí otázce záporné stanovisko. Dále srovnává tuzemské a zahraniční fundamentální rozdíly toto institutu napříč těmito z hlediska jak pozitivních, tak negativních poznatků a implicitně reflektuje možnou inspiraci zahraniční úpravou při potencionální transformaci cíle a účelu svěřenského fondu jakožto jeho rozšíření využití při aplikaci v právní praxi. Jako výsledek aplikace výše uvedených výzkumných metod vytyčuje zjištěné tendence nefunkčnosti ve stávající právní úpravě, přitom poukazuje na kusou úpravu, která podle výsledků výzkumu neodpovídá rozměrům a dispozičnímu využití svěřenského fondu, jakož i nebezpečí zaměnitelnosti s některými jinými instituty, a to jak svojí potenciální formou, příbuzným typem zakladatelských právních jednání i sumarizací druhu práv a povinností zainteresovaných osob v té které úpravě, nevhodnou vazbu na obecnou úpravu správy cizího majetku, která by měla býti separována podporující názor zcela odlišné hypotézy těchto dvou právních úprav, nedostatečné, místy nejednotné vymezení ochrany souboru majetku do svěřenského fondu vloženého ve smyslu míry ochrany práv věřitelů, osob poškozených a dalších zainteresovaných osob, zejména pak na aplikaci exekučních a insolvenčních norem právě na vložený majetek, nejednotnou a vertikálně nezakotvenou soudní příslušnost nad jeho záležitostmi, stejně tak jako nejednotnou rozhodovací praxí soudů v těchto záležitostech. Po tomto přednesu analyzuje aktuální judikaturu soudů a hodnotí jejích konformní výklad k maximálnímu naplnění účelu a podstaty úpravy. Konečně uzavírá tuto potřebnost, ovšem navrhuje novou právní úpravu.

Abstract:

This thesis deals with the question of the necessity of the trust fund institute in the current Czech legislation. Using scientific research methods: heuristic, analysis, synthesis, inductive, specification, analogical and, alternatively, comparative methods, it analyses its current regulation, confronts it with institutes having synonymous construction from the point of view of the general theory of the hypothesis of legal norms and could substitute it from the point of view of the theory of disposition. At the same time, it abstracts their distinct elements not directly correlated with the trust fund regulation and gives possible consequences in relation to the theoretical implementation of this dogma. The thesis concludes with a negative opinion on this partial question. Further, it compares both positive and negative differences between the domestic and foreign institution and implicitly reflects on the possible inspiration of foreign regulation in the potential transformation of the aim and purpose of the trust fund as an extension of its application in legal practice. As a result of the application of the above mentioned research methods, it outlines the identified tendencies of dysfunctionality in the existing legal regulation, while pointing out the piecemeal regulation which, according to the research results, does not correspond to the dimensions and dispositional use of the trust fund, as well as the danger of interchangeability with some other institutes, both in its potential form, the related type of founding legal acts and the summarization of the type of rights and obligations of the interested persons in that regulation, the inappropriate link to the general regulation of foreign property management, which should be separated, supporting the view of completely different hypotheses of these two legal regulations, insufficient, sometimes inconsistent definition of the protection of the set of assets contributed to the trust fund in terms of the degree of protection of the rights of creditors, victims and other interested persons, in particular on the application of the enforcement and insolvency norms to the contributed assets, inconsistent and vertically undefined jurisdiction over its matters, as well as inconsistent decision-making practice of courts in these matters. Finally, it concludes this necessity, but proposes new legislation.
