Abstract:

Cílem diplomové práce „Akcie na doručitele a korupce při zadávání veřejných zakázek“ je zmapovat právní úpravu ve vztahu k akciím na doručitele a porovnat ji s právní úpravou ve Španělsku. V souladu s tím bude práce analyzovat také problémy existence akcií na doručitele ve vztahu k zadávání veřejných zakázek. První část práce se věnuje akciovým společnostem s detailnějším zaměřením na jednotlivé formy a typy emitovaných akcií. Druhá část nabízí přehled vybraných pozitivních i negativních charakteristik akcií na doručitele, které jsou s vlastnictvím daných cenných papírů spojeny. V této části jsou rovněž obsaženy informace týkající se veřejných zakázek a korupce. Třetí část předkládá porovnání situace v naší zemi a ve Španělsku. Závěr práce pak nabízí souhrn dříve představených zjištění a stručnou diskuzi vybraných problémových oblastí.

Abstract:

The aim of the thesis "Shares on delivery and corruption in public tenders" is to map the legislation in relation to bearer shares and to compare it with the legislation in Spain. In line with this, the present part will also analyze the problems of existence of bearer shares in relation to public procurement. The first part is devoted to joint-stock companies with a more detailed focus on the various forms and types of issued shares. The second part provides an overview of selected positive and negative characteristics of bearer shares that are related to the ownership of the securities. This section also contains the information on the procurement and corruption. The third part presents comparison of the situation in our country and in Spain. Subsequently, the conclusion provides a summary of the previously presented findings and a brief discussion of the selected problem areas.
