Distributions of profit shares and shares in liquidation residue in corporate companies (accounting and tax perspective)

Abstract:

Cílem této diplomové práce je přiblížit procesy v souvislosti s výplatami podílu na zisku a na likvidačním zůstatku kapitálových společností. Pro uvedení do kontextu je nejprve nastíněno, jakým způsobem jsou tvořeny podíly v kapitálových společnostech a jak se určuje výše těchto podílu. Dále je popsána struktura vlastního kapitálu obchodních korporací s poukázáním na to, zda se jedná o zdroje volné či vázané. Poté práce přejde k popisu výplat podílu na zisku včetně jejich omezujících podmínek, a to i v souvislosti s výplatami záloh na podíl na zisku. Dále práce rozebírá podíly na likvidačním zůstatku z právního, účetního a daňového pohledu a s tím i související účetní a daňové problémy vzniklé ze samotné likvidace. V poslední kapitole jsou srovnány některé klíčové vybrané účetní a daňové problémy spojené s výplatami podílů na zisku a likvidačním zůstatku.

Abstract:

The aim of this master's thesis is to elucidate processes related to the distribution of profit shares and liquidation residue in corporate entities. To provide context, the formation of shares in corporate entities and the determination of the amount of these shares are outlined initially. Subsequently, the structure of equity in business corporations is described, with an emphasis on whether it constitutes free or tied-up resources. The thesis then proceeds to describe the distribution of profit shares, including their limiting conditions, also in connection with advances on profit share. Furthermore, the thesis analyzes shares in the liquidation residue from legal, accounting, and tax perspectives, along with the related accounting and tax issues arising from the liquidation process. In the final chapter, some key selected accounting and tax issues associated with the distribution of profit shares and liquidation residue are compared.
