The Modern History of the Prague Stock Exchange in the Area of IPO

Abstract:

Práce je zaměřena na oblast burzovnictví, s důrazem na Burzu cenných papírů Praha a.s. (BCPP) se zaměřením na problematiku primárních emisí akcií (IPO). Podává ucelený přehled o vzniku burz a jejich následném vývoji, obchodních systémech, podmínkách pro vstup na veřejný trh a legislativní úpravě v české republice. Dále následuje deskripce různých forem IPO, které se trh od trhu liší, popis procesu, kterým každá firma musí projít, pokud chce veřejně emitovat své cenné papíry. Dále se práce zabývá možnými příčinami malé realizace nebo spíše nerealizace IPO na BCPP. Jsou zde detailně popisovány ekonomické a legislativní překážky na cestě k fungujícím IPO. Z analýzy vyplývá, že příčinou nerealizace IPO na BCPP jsou legislativní nedostatky, nedůvěra v kapitálový trh a nulová podpora ze strany státu. V závěru práce je provedena detailní analýza IPO v novodobé historii BCPP a zhodnocení a predikce stavu v oblasti IPO.

Abstract:

The thesis is focused on the topic of stock exchanges, with an emphasis on the Prague Stock Exchange (PSE), with a focus on Initial Public Offerings (IPO’s). The thesis presents a comprehensive overview of the creation of stock exchanges and their subsequent development, trading systems, conditions for entry onto the public market and legislative regulations in the Czech Republic. Next follows a description of the various types of IPO’s, which vary from market to market, and a description of the process through which every company must go if it wants to publicly issue its securities. The thesis also deals with possible causes of the small number of IPO executions on the PSE. Economic and legislative hurdles encountered along the way to a functioning IPO are described here in detail. The analysis shows that the causes for the lack of IPO’s on the PSE are legislative deficiencies, lack of faith in the capital market and zero support by the state. In the conclusion of the thesis, a detailed analysis of IPO’s in the contemporary history of the PSE is presented, along with an evaluation and prediction of the status in the area of IPO’s.
