Contract penalty

Abstract:

Smluvní pokuta je zajišťující institut známý již z historie. Smluvní pokuta může vzniknout pouze písemnou dohodou stran. Zajišťovací institut smluvní pokuty plní funkci pouze preventivně ve smyslu, že pohrůžka touto sankcí vede dlužníka k tomu, aby řádně a včas splnil smluvní povinnost. V kapitole 2 je popisováno zajištění závazků. V následující kapitole je krátký historický exkurz, v dalších dvou kapitolách je popisována právní úprava obsažená v občanském a obchodním zákoníku. V kapitole 5 je popisována smluvní pokuta v dalších případech a v následující kapitole obsahuje rozhodovací praxi soudů.

Abstract:

A contractual penalty is a securing institute already known from the history. The contractual penalty can only originate through a mutual written agreement of contracting parties. The securing institute of the contractual penalty has a preventive function which means that the threat of this sanction makes a debtor fulfil their contractual obligations properly and on time. Chapter 2 describes the security of obligations. The following chapter includes a short historical excursion whereas the following two chapters describe enactments pursuant to the Civil Code and the Commercial Code. Chapter 5 describes the contractual penalty in other cases and the following chapter is devoted to the decision practices of courts.
