Dissolution of legal entity

Abstract:

Tato práce je zaměřena na nejpřísnější druh trestu, který lze uložit trestně odpovědné právnické osobě, a to na trest zrušení právnické osoby. Práce zprvu obsahuje obecná východiska trestního sankcionování právnických osob, po kterých následuje kazuistické rozebrání zákonné úpravy trestu zrušení právnické osoby. Je obsažena také analýza problematických aspektů, které se vyskytují při ukládání tohoto druhu trestu s následným návrhem jejich řešení. Opomenuta není ani aktuální aplikační praxe soudů, jež je demonstrována na vybraných částech rozhodnutí, kterými soudy ukládaly trest zrušení právnické osoby během roku 2022. Obsažena je také komparační kapitola, která přibližuje koncepci trestní odpovědnosti právnických osob, jejich trestní sankcionování a zákonnou úpravu trestu zrušení právnické osoby na Slovensku, ve Francii a ve Španělsku. Závěr práce sumarizuje návrhy trestu zrušení právnické osoby de lege ferenda, které reagují na dříve rozebrané problematické aspekty či vycházejí ze zahraničních právních řádů.

Abstract:

This thesis focuses on the most severe type of punishment that can be imposed on a criminally liable legal entity namely the punishment of dissolution of a legal entity. The thesis first contains general background of the criminal sanctioning of legal entities followed by a casuistic discussion of the legal regulation of the punishment of dissolution of a legal entity. An analysis of the problematic aspects that occur in the imposition of this type of punishment is also included, followed by a proposal for their solution. The current application practice of the courts is not omitted which is demonstrated by selected parts of the decisions by which the courts imposed the punishment of dissolution of a legal entity within the year 2022. A comparative chapter is also included which presents the concept of criminal liability of legal entities, their criminal sanctioning and the legal regulation of the punishment of dissolution of a legal entity in Slovakia, France and Spain. The conclusion of the thesis summarises proposals for the punishment of the dissolution of a legal entity de lege ferenda which respond to the problematic aspects analyzed earlier or are based on foreign legal systems.
