Abstract:

Tato práce se zabývá odporovatelností (slovy zákona „neúčinností“) v insolvenčním právu. Jedná se o jeden z klíčových institutů dané právní oblasti, bez něhož by insolvenční procesy byly značně omezené až nefunkční, neboť by chyběl nástroj umožňující zpětně postihovat jednání dlužníka na úkor uspokojení jeho věřitelů v minulosti a v průběhu řízení. Práce je rozčleněna na tři větší úseky. První je převážně popisný, přičemž je nejprve představena terminologie, jež byla pro účely sepsání práce zvolena, na to navazuje historický vývoj institutu a zakončuje jej představení právní úpravy (odpůrčího práva v objektivním slova smyslu) a základních zásad. Druhý, stěžejní úsek, se zaměřuje na hmotněprávní povahu nástroje, přičemž hlavním zájmem je samotné odpůrčí právo v subjektivním slova smyslu, jeho povaha a teorie o ní, účel, vznik a zánik, relativita a úvaha nad postupitelností. Konečně třetí část obsahuje procesní souvislosti, a to problematiku odpůrčí žaloby, rozhodnutí o ní a možnosti mimosoudního řešení věci. K tomu jsou připojeny otázky střetů odpůrčích sporů a insolvenčních řízení.

Abstract:

This dissertation deals with avoidance (in the words of czech law „ineffectiveness“) in insolvency law. It is one of the key institutes of the legal area, without which insolvency proceedings would be considerably limited or inoperative, as there would be no instrument to retroactively sanction the debtor's conduct to the detriment of the satisfaction of his creditors in the past and during the proceedings. The work is divided into three main sections. The first is essentially descriptive, where terminology is first introduced and chosen for the purposes of the work. This is followed by the historical development of the institute and concluded with the introduction of legal regulation (transaction avoidance law) and basic principles. The second, core section, focuses on the substantive nature of the instrument, with the main interest being the right to carry out the avoidance, its nature and the theory of it, purpose, formation and termination, relativity and consideration of assignability. Finally, the third part contains procedural context, namely the issue of avoidance action, decreeing it, and the possibility of settling the case out of court. There are also issues of conflicts of avoidance disputes and insolvency proceedings.
