Impact of Directive (EU) 2019/1023 of the European Parliament and of the Council on insolvency law in the states of the European Union

Abstract:

Cílem této diplomové práce je posouzení, zda se českým a německým zákonodárcům podařilo implementovat základní cíle a principy Směrnice, jakož i nosné instituty preventivní restrukturalizace a druhé šance, do vnitrostátních právních řádů a následné provedení komparace těchto právních úprav. Prostředkem k získání poznatků je analýza české a německé úpravy preventivní restrukturalizace a institutu druhé šance. Diplomová práce je rozčleněna do tří kapitol. První kapitola se věnuje charakteristikou Směrnice, jejími stěžejními cíli a principy. Druhá kapitola je zaměřena na institut preventivní restrukturalizace, zejména implementací jejich nejpodstatnějších institutů do právních řádu České republiky a Německa. Třetí kapitola se poté věnuje institutu tzv. druhé šance, resp. úplnému oddlužení podnikajících fyzických osob. V závěru jsou shrnuty poznatky získané analýzou a komparací dat.

Abstract:

The aim of this thesis is to assess whether the Czech and German legislators have succeeded in implementing the basic objectives and principles of the Directive, as well as the core institutes of preventive restructuring and second chance, into their national legal systems and then to make a comparison of these legal systems. The analysis of the Czech and German legislation on preventive restructuring and second chance is a means of gaining insights. The thesis is divided into three chapters. The first chapter deals with the characteristics of the Directive, its main objectives and principles. The second chapter focuses on the institute of preventive restructuring, in particular the implementation of their most important institutes into the legal system of the Czech Republic and Germany. The third chapter then focuses on the so-called second chance institute, i.e. full debt relief for natural persons engaged in business. In the conclusion, the findings obtained through data analysis and comparison are summarised.
