Critical Comparative Analysis of the General Part of Obligations as Drafted in the Proposed Czech Civil Code (2009) Compared with the Actual Valid Regulation in Civil Code and Commercial Code

Abstract:

Tato diplomová práce analyzuje a srovnává obecnou část závazkového práva (zejména smluvní závazky) v platném občanském a obchodním zákoníku s návrhem nového občanského zákoníku, který schválila Vláda České republiky dne 27. dubna 2009. Práce se nezabývá historickými okolnostmi, ale usiluje o analytické a věcné vystižení hlavních odlišností mezi platnými úpravami a jejich porovnání s návrhem, a to především z pohledu podnikatelů a s ohledem na jejich ekonomický dopad, eventuelně s doporučením koncepčních, formulačních nebo systematických změn. Zaměřuje se na rozlišovací kritéria kogentních a dispozitivních norem, na vznik smlouvy a na obsah, subjekty, zajištění a zánik závazků.

Abstract:

The diploma thesis analyzes and compares the general part of the law of obligation (obligations ex contractu in particular) in the valid Civil Code and in the Commercial Code with the newly proposed Civil Code, which was ratified by the Government of the Czech Republic on April 27, 2009. The thesis does not aim at any historical circumstances but at an analytical, factual and truthful description of the main differences between the valid modifications and at their comparison with the draft, as seen mainly from the point of view of entrepreneurs and with regard to their economic impacts or with a possible recommendation of conceptual, formula or systematic changes. It concentrates on new distinctive criteria of peremptory and non-mandatory rules, on the genesis of a contract and on the content, subjects, securing and termination of obligations.
