Issuer of a security, his duties and legal liability

Abstract:

Cílem diplomové práce je popsat úlohu a postavení emitenta cenného papíru, jaká má práva a povinnosti, jeho právní odpovědnost a jaké je jeho postavení v procesu primární emise cenného papíru. Především zde přibližuji cestu financování společnosti prostřednictvím nástrojů kapitálového trhu, povinnosti emitenta po vstupu na regulovaný trh a následně jeho správní delikty. Teoretická část práce se zaměřuje na obecnou charakteristiku cenných papírů, emitenta cenného papíru, právní základy postavení emitenta, evropskou legislativu, implementaci evropských směrnic do českého právního řádu, popis průběhu primární emise a správních deliktů. V praktické části se věnuji průběhu primární emise konkrétních akcií na českém kapitálovém trhu a to jak úspěšných tak neúspěšných. V závěru praktické části se soustředím na správní delikty v oblasti kapitálového trhu. Zejména na delikty, které spáchali společnosti Enron a WorldCom. Dále jsou zde shrnuty výsledky a současně zhodnoceny chyby, které společnosti při plnění informačních povinnosti udělaly. Práce je čerpána z řady relevantních materiálů, monografií, článků a zejména ze zákonů a internetových stránek vztahujících se k tématu diplomové práce.

Abstract:

The aim of the thesis is to describe the role and the status of an issuer of a security, its rights and obligations, its legal responsibility and its role in the process of initial public offer of the security. Firstly I approach the way of the company financing through capital market instruments, obligations of the issuer of the security listed on the regulated market and consequently its administrative offences. The theoretical part of this work focuses on the general characteristics of the issuer, securities, the legal status of an issuer, the European legislation, the implementation of European directives into the Czech law, the process of the initial public offer and the administrative offenses. The practical part deals with the certain initial public offers of shares on the Czech capital market, both successful and unsuccessful. At the end of the practical part I focus on the administrative offences in the area of the capital market, especially on the offenses committed by the Enron and WorldCom. Furthermore, there are summarized the results and also evaluated errors that companies made while fulfilling their information duties.. The thesis is taken from a number of relevant materials, monographs, articles, and especially the laws and Internet web sites related to the thesis topic.
