Withdrawal from the Contract in the New Civil Code in the light of Current Case Law

Abstract:

Cílem mé bakalářské práce je práce je srovnat stávající úpravu odstoupení od smlouvy v obchodním zákoníku s úpravou v novém občanském zákoníku a identifikovat jak velké, tak i malé změny, kterými tento právní institut v příštím roce projde a to nejen při srovnání těchto dvou zákonů, ale také s přihlédnutím ke stávající judikatuře. Ač by se mohlo zdát, že o tomto právním úkonu toho bylo napsáno dost, z judikatury soudů a různých právních názorů lze konstatovat, že odstoupení od smlouvy je problematikou, která stále zodpovídá nové otázky. Práce je strukturována systematicky do šesti kapitol, v kterých je srovnávána úprava odstoupení od smlouvy v obchodním zákoníku a novém občanském zákoníku. V této práci se věnuji podmínkám, za kterých lze od smlouvy odstoupit a také důsledkům tohoto právního úkonu. To vše s přihlédnutím k současné judikatuře. V práci se také zabývám změnami, které přijdou spolu s účinností nového občanského zákoníku, v sjednávání a uzavírání vybraných smluvních typů. Těmi jsou smlouva o dílo, která k problematice vypořádání neodmyslitelně patří, smlouva kupní, na základě níž dochází k nejčastějším obchodním transakcím v obchodněprávním vztahu a smlouvu o úvěru můžeme zařadit mezi jednu z nejfrekventovanějších smluv, které jsou v posledních letech uzavírány.

Abstract:

The aim of this bachelor’s thesis is to compare the current legal provisions of withdrawal from the contract in the Comerciall Code with the provisions in the new version of Civil Code and to identify both big and small changes that will apply to these institutes in the coming year. Not only will the two laws be compared, but also the current judicature will be concerned. It may seem that there have already been written enough about this topic, nevertheless the courts’ judicature and diverse law opinions show quite clearly, that withdrawal from contract is a problem which continuously finds and answers new questions. The text is devided systematically into six chapters in which the provisions of withdrawal from contract in the Commercial Code and the new Civil Code is compared. The author focuses on conditions of withdrawal and on its consequences. The current judicature is concerned here. Also the changes brought by the new Civil Code are discussed, mainly in arranging and concluding a contract of selected contractual type. These are contract for work, which undoubtedly belongs to the problematics of settlement; purchase contract, which is the base of the most frequent commercial transactions in the area of commercial law relationship; and the loan contract which is one of the most common contracts that have been concluded in the recent years.
