Corporate reorganization under the US bankruptcy laws and accounting standards

Abstract:

Cílem této práce je analýza procesu reorganizace pole americké právní a účetní úpravy. První kapitola obsahuje právní úpravu reorganizace a pohled na její účastníky a jejich význam v průběhu insolvenčního řízení. Kromě role dlužníka je zde vysvětleno i postavení věřitelů, resp. věřitelského výboru a význam insolvenčního správce a insolvenčního soudu v průběhu celého insolvenčního řízení, tj. od jeho zahájení podáním insolvenčního návrhu na reorganizaci, přes proces tvorby reorganizačního plánu, až po jeho schválení věřiteli, potvrzení insolvenčním soudem a následnou účinnost. Druhá část této práce navazuje na úpravu právní a je zaměřená na účetní řešení reorganizace podle US GAAP vycházející primárně ze standardu ASC 852, který podrobně popisuje případy a položky, se kterými se zachází při reorganizaci odlišně od standardní úpravy. Obsahuje účetní řešení jak v momentu zahájení reorganizace, tak v okamžiku, kdy je tento plán, tedy v situaci, kdy byla reorganizace dovedena do úspěšného konce a reorganizovaná společnost může pomocí metody nové účetní jednotky vstoupit do nové etapy své existence de facto s čistým štítem. Závěrečná třetí část obsahuje právní a účetní analýzu americké papírenské společnosti NewPage Holdings Inc., která úspěšně překonala úpadek v roce 2012.

Abstract:

The aim of this thesis is to analyze the process of reorganization under the US laws and accounting standards. The first chapter contains legislation, description of the parties and their role during the insolvency proceedings. It covers the role of the debtor, creditors, creditors' committee, insolvency trustee and insolvency court throughout the insolvency proceedings. The second part focuses on accounting under US GAAP based primarily on the ASC 852, which describes in detail the cases and items that are treated differently during the reorganization. The third part includes legal and accounting analysis of the American paper company NewPage Holdings Inc., which successfully emerged from bancruptcy in 2012.
