Formal and Material Publicity of Business Commercial

Abstract:

Bachelor work with subject-matter material and formal publicity of Business Commercial presents a complex view of the issue with focus on providing better orientation between legislation governing this area. The core of the work is divided into three main chapters, namely the commercial register, publicity and its legal effects and substantive and procedural rules of the commercial register, which are elaborated in further individual subchapters. The first chapter of bachelor work contains a brief insight into the history of the commercial register, general description and purpose of the commercial register. The second chapter is devoted to publicity of commercial register and its legal effects. It deals with formal publicity, negative material publicity and positive material publicity. The third chapter is the largest one. It is divided into substantive rules of the commercial register and procedural rules of the commercial register. In the part of substantive rules deals with the effects of trade register entries, people and data registered into the commercial register and the collection of documents. The part of procedural rules of the commercial register is devoted to division commercial register, proceedings in commercial register, the application for registration, electronic filing application for registration, registration, decisions on registration procedures and consultation in the commercial register, extracts, depreciations, affirmations.

Abstract:

Bakalárska práca na tému materiálnej a formálnej publicity obchodného registra predstavuje ucelený pohľad na uvedenú problematiku s dôrazom na poskytnutie ľahšej orientácie medzi právnymi predpismi, ktoré upravujú túto oblasť. Jadro práce je rozdelené do troch hlavných častí, a to obchodný register, publicita a právne účinky a hmotnoprávna a procesnoprávna úprava obchodného registra, ktoré sú rozpracované podrobnejšie do jednotlivých podkapitol. Prvá kapitola bakalárskej práce obsahuje stručný pohľad do histórie obchodného registra, všeobecnú charakteristiku a účel obchodného registra. Druhá kapitola je venovaná samotnej publicite obchodného registra a jej právnym účinkom. Rozobratá je tu publicita formálna, ale i publicita materiálna z pohľadu pozitívneho i z pohľadu negatívneho princípu. Tretia kapitola je rozsahom najväčšia. Rozdelená je na hmotnoprávnu úpravu obchodného registra a procesnoprávnu úpravu obchodného registra. V časti o hmotnoprávnej úprave sa zaoberá účinkami zápisov obchodného registra, osobami a údajmi zapisovanými do obchodného registra a zbierkou listín. V časti o procesnoprávnej úprave je významná pozornosť venovaná členeniu obchodného registra, konaniu vo veciach obchodného registra, návrhu na zápis, elektronickému podaniu návrhu na zápis, registrácii, rozhodnutiam v registrovom konaní a nahliadaniu do obchodného registra, výpisom, odpisom, potvrdeniam.
