Management Contract in the Context of the So-Called Great Amendment to Business Corporations Act

Abstract:

Předmětem této diplomové práce je smlouva o výkonu funkce v kontextu tzv. velké novely ZOK. Práce se komplexně věnuje změnám v právní úpravě smlouvy o výkonu funkce, popisuje a rozebírá odlišnosti dosavadní a novelizované právní úpravy zejména s ohledem na výkladové problémy plynoucí z právní úpravy po tzv. velké novele ZOK. Právní úprava smlouvy je zkoumána jak ve vztahu ke kapitálovým společnostem, tak ve vztahu k osobním společnostem a družstvu. Po přiblížení vztahu člena orgánu a obchodní korporace a odměňování člena orgánu se zaměřuje na formu a schválení smlouvy příslušným orgánem a následky nedodržení uvedených požadavků. Dále se zabývá dopady nové výslovné úpravy data nabytí účinnosti smlouvy a dopady nové výslovné úpravy rozporu mezi smlouvou a zakladatelským právním jednáním.

Abstract:

The subject matter of the thesis is the management contract in the context of the so-called great amendment to Business Corporations Act. The thesis comprehensively deals with changes in the legal regulation of the management contract, describes and discusses the differences between the existing and amended legislation, especially with regard to interpretation problems arising from the legislation after the so-called great amendment to Business Corporations Act. The legal regulation of the contract is examined both in relation to capital companies and in relation to personal companies and cooperatives. After approaching the relationship between a body member and a business corporation and the remuneration of a body member, it focuses on the form and approval of the management contract by the competent authority and the consequences of non-compliance with these requirements. It also deals with the impact of the new explicit regulation of the effective date of the contract and the impact of the new explicit regulation of the conflict between the contract and the founding legal action.
