Reorganization in the process of insolvency proceedings

Abstract:

Předmětem této práce s názvem Reorganizace v procesu insolvenčního řízení je vlastní pojem reorganizace a její realizace v České republice. Reorganizací je myšlen proces, jehož cílem není nenávratná likvidace podniku a jeho postupný rozprodej, ale spíše sanace ekonomické podstaty dlužníka. Náplní práce insolvenčního správce při reorganizaci pak není jen soupis a zpeněžení majetkové podstaty dlužníka, jak to bývá obvyklé u konkursní formy řešení úpadku, ale spíše ozdravení podniku a nalezení možnosti jeho přežití. Při reorganizaci je tak zachována ekonomická činnost dlužníka a věřitelé mají být uspokojováni průběžně právě z výnosů ekonomické činnosti dlužníka. Právě v tom tkví zcela zásadní rozdíl mezi reorganizací a konkursem. V diplomové práci se pokouším přehledně a uceleně popsat právní úpravu reorganizace od svého samotného počátku až po její skončení. Cílem je rovněž zpracovat problematiku takovým způsobem, aby tato diplomová práce mohla minimálně v tomto reálném čase sloužit jako informační manuál reorganizace i s vyjmenováním klíčových úspěšných a i neúspěšných reorganizací posledních let.

Abstract:

The subject of this work entitled Reorganization in the process of insolvency proceedings is the concept of reorganization and its implementation in the Czech Republic. By reorganization is meant a process whose goal is not the irreversible liquidation of the company and its gradual sale, but rather the rehabilitation of the economic substance of the debtor. The task of the insolvency administrator in the reorganization is not only the inventory and monetization of the debtor's assets, as is usual in the bankruptcy form of bankruptcy, but rather the recovery of the company and finding the possibility of its survival. During the reorganization, the economic activity of the debtor is thus preserved and the creditors are to be satisfied on an ongoing basis precisely from the revenues of the economic activity of the debtor. This is the fundamental difference between reorganization and bankruptcy. In my diploma thesis I try to clearly and comprehensively describe the legal regulation of reorganization from its very beginning to its end. The aim is also to process the issue in such a way that this thesis can serve at least in this real time as an information manual for the reorganization, listing the key successful and unsuccessful reorganizations of recent years.
