Project of company shut down and its liquidation

Abstract:

Cílem diplomové práce je zpracování projektu likvidace obchodní společnosti. Projekt bude vycházet ze studia teoreticko-metodologických poznatků v oblasti rušení podniků, především formou likvidace. Získané znalosti při zpracovávání teoretické části práce budou aplikovány na společnost Hlavní 2738, spol. s r.o. Praktická část projektu bude řešit postup likvidace a zánik Hlavní 2738, spol. s r.o., kdy budou identifikovány veškeré klíčové kroky likvidačního procesu, a to jak z hlediska ryze právního, tak i ekonomicko-podnikatelského. Přínosem této práce je rozbor právní úpravy likvidace obchodních společností po rekodifikaci soukromého práva a následně uvedená vlastní koncepce řešení problematiky, která se týká specifického případu společnosti s ručením omezeným. Mohou tak sloužit jako vodítko pro seznámení s touto problematikou či jako návod na postup zrušení společnosti likvidací jak pro podnikatele, tak i pro ostatní čtenáře, které tato problematika zajímá.

Abstract:

The aim of the diploma thesis is the elaboration of a liquidation project of the company. The project will be based on the theoretical and methodological knowledge of dissolution of a company, primarily by liquidation. The acquired knowledge in the theoretical part of the thesis will be applied to the particular company – Hlavní 2738, spol. s r.o. The practical part of the project will deal with the process of liquidation and the dissolution of the company, all the key steps of the liquidation process will be identified, both in terms of purely legal and economic-entrepreneurial. The contribution of this thesis is an analysis of legal regulations for the liquidation of companies after the recodification of private law and also its own concept of solution of the topic, which concerns a specific company. They can be used as a guideline for getting to know the topic or as an instruction to dissolution of a company for entrepreneurs and other readers who are interested in this topic.
