Harmonization of trading companies legislation in the European Union

Abstract:

Bachelor's thesis deals with the harmonization of company law. The aim of the thesis is an analysis of company law regulated by European Union law, particularly in the areas of harmonized guidelines. Its content is divided into two main chapters. The first chapter is devoted to the specification of commercial companies as legal entities within the legislation of the Slovak Republic. It then discusses the supranational forms of business formed under the law of the European Communities. Basic forms and their characteristics description are provided by the author in this part. The second main chapter describes and defines the very concept of harmonization as a tool of EU and Slovak law reconciliation. Stages of development, tools used during its execution and implementation of individual rights are described herein. Author represents the directive as the primary means of executing the harmonization of company law. Implementation and transposition of directives issued by the European Community into the laws of individual member countries are also defined, along with detailed description of selected Directives adopted in the field of company law. Further along, a part of the document is dedicated to those Decisions of the European Court of Justice that have significant impact on that area of law. Finally, the impact of the Lisbon Treaty on harmonization is highlighted. Concluding, the author accentuates the need for harmonization of the laws of the European Union Member States, as well as the future of aforementioned.

Abstract:

Bakalárska práca sa zaoberá harmonizáciou práva obchodných spoločností. Cieľom práce je analýza práva obchodných spoločností regulovaných právom Európskej únie, najmä oblastí harmonizovaných smernicami. Obsahovo je rozdelená do dvoch hlavných kapitol. Prvá kapitola je venovaná charakteristike obchodných spoločností ako právnických osôb v legislatíve Slovenskej republiky. Taktiež sa v nej pojednáva o supranacionálnych formách podnikania založených podľa práva Európskych spoločenstiev. Autor v nej definuje základne formy a popisuje ich charakteristické črty. V druhej hlavnej kapitole je opísaný a vymedzený samotný pojem harmonizácie ako nástroja na zosúladenie práva Európskej únie s právom Slovenskej republiky. Popisujú sa štádia jej vývoja a tiež nástroje použité pri jej realizácii a implementácii jednotlivých práv. Autor hovorí o smernici ako o základnom prostriedku realizácie harmonizácie práva obchodných spoločnosti. Taktiež definuje implementáciu a transpozíciu smerníc vydaných Európskym spoločenstvom do právnych poriadkov jednotlivých členských krajín a podrobne rozoberá vybrané smernice prijaté v oblasti práva obchodných spoločností. V neposlednom rade je časť práce venovaná rozhodnutiam Európskeho súdneho dvora majúcich významný vplyv na uvedenú oblasť práva. V závere sa poukazuje na vplyv Lisabonskej zmluvy na harmonizáciu. Napokon sa vyzdvihuje potreba harmonizácie v rámci právnych poriadkov členských štátov Európskej únie, ako aj jej budúcnosť.
