Compliance program as a dynamic tool for legal entity protection

Abstract:

Tato diplomová práce se zabývá stěžejními aspekty trestní odpovědnosti právnických osob a možnostmi compliance programu jako prostředku ochrany právnických osob proti následkům, plynoucím z jejich trestní odpovědnosti. Výše uvedenému účelu je podřízeno i členění celé práce – od teorie v úvodní kapitole, po níž následuje představení compliance programu v obecné rovině vč. jeho specifických oblastí. Ve třetí kapitole je uveden postup vytváření compliance programu skutečné právnické osoby a čtvrtá kapitola popisuje praktické použití compliance programů při řešení reálných incidentů, vč. zhodnocení jeho přínosu pro danou právnickou osobu. Cílem mé diplomové práce je, pomocí analýzy dat a jejich následné syntézy a dedukce doložit správnost mého názoru, že dobře vytvořený compliance program je pro právnické osoby skutečným ochranným štítem před následky incidentů a nezáleží na tom, zda příčiny vzniku těchto incidentů jsou vně resp. uvnitř právnické osoby.

Abstract:

This thesis focuses on essential aspects of criminal liability of juridical persons and possibilities of a compliance program as a means of protection of the juridical persons form the consequences of their criminal liability. The structure of the thesis is determined by the aforementioned objective – from the theory in the opening chapter, after which follows an introduction of the compliance program in general incl. its specific areas. In the third chapter, the procedure of development of the compliance program of an actual juridical person is introduced, and the forth chapter describes practical use of compliance programs when dealing with real incidents incl. evaluation of its benefits for the juridical person. The objective of my thesis is, using the data analysis and its subsequent synthesis and deductions, to justify the correctness of my opinion that the well-developed compliance program may serve as a real defence shield from the consequences of incidents, regardless of whether the cause of the incidents lie inside or outside of the juridical person.
