The project of the transformation of a collective farm to a joint stock company

Abstract:

Cílem této bakalářské práce je charakterizovat projekt transformace konkrétního zemědělského družstva, které v důsledku politických zásahů do zemědělství muselo nejprve povinně provést transformaci podle státem vytvořeného zákona. O několik let později prošlo družstvo další transformací. Z existenčních důvodů bylo družstvo nuceno založit akciovou společnost a převést na ni veškerou zemědělskou činnost. V teoretické části jsou popsány jednotlivé právní formy podnikání a je uvedena podstata projektu. V praktické části jsou charakterizovány fáze transformačního projektu. I. fáze transformačního projektu se zabývá problematikou transformačního zákona, podle kterého muselo družstvo provést transformaci. Ve II. fázi transformačního projektu je postupně uvedeno z jakého důvodu a jakým způsobem založilo zemědělské družstvo akciovou společnost. Závěrečná část obsahuje současný stav zemědělského družstva, akciové společnosti a je zhodnocen celý projekt transformace.

Abstract:

The aim of this thesis is to characterize the project of the transformation of a particular collective farm, which because of political interference in agriculture and according to a created state law, first had to realize the compulsory transformation. A few years later the collective farm went through another transformation. Because of existential reasons, the collective farm was forced to establish a joint stock company, and pass on all agricultural activities. The theoretical part deals with different legal forms of business activities and specifies the basis of the project. The practical part characterizes phase of the transformation project. Phase number I of the transformation project deals with the transformation law under which the collective farm had to develop the transformation project and then perform the transformation. In phase II of the transformation project it is subsequently mentioned why and how the collective farm established the joint stock company. The final section contains the current state of the collective farm, the joint stock company and evaluates the project of transformation.
