The Role of Bill of Exchange in Commercial Law Relationships

Abstract:

Nahlížíte do bakalářské práce, jejímž tématem je směnečná problematika. Směnka se stává jedním z nejfrekventovanějších prostředků financování, vědomosti uživatelů o způsobech jejího uplatnění jsou ale často nedostatečné. Tato práce se proto snaží upozornit na několik drobných, nicméně zásadních rozdílů vyplývajících z možného uplatnění směnky jak v obchodní sféře, tak soukromém životě, a tím ochránit před možným nepochopením některých aspektů týkajících se jejího praktického využití. V úvodu je směnka obecně popsána v globálním kontextu, na pozadí svého historického vzniku, ustálené terminologie a vlastního vzniku směnečného závazkového vztahu. Zdůrazněna je abstraktní povaha tohoto cenného papíru a jeho role v utváření úvěrového závazku. Po rozboru některých vybraných směnečných úkonů se práce v další fázi blíže zaobírá dvojím pohledem na směnku jako na platební nástroj a v kontrastu s tím také jako na prostředek zajištění. V rozsáhlých pasážích této práce je pozornost soustředěna na úskalí ručení, směnečného rukojemství a postupování pohledávek, což spolu s konkrétními ukázkami ze soudní praxe přibližuje podstatu směnečné problematiky. Důležitou součástí práce je výčet pozitiv a negativ směnky jako cenného papíru. V poslední kapitole nastiňuji perspektivy aktuálního očekávaného přechodu české koruny na euro, ale také v ní polemizuji s doporučeními týkajícími se některých očekávaných změn. Tato práce se tedy zjevně snaží představit směnku v jejích nejrůznějších podobách a rozšířit tak povědomí široké veřejnosti. Kterýkoli uživatel směnky, který není přesně obeznámen s tímto finančním nástrojem, je podle poučky: Neznalost zákona neomlouvá, vystaven potenciálnímu riziku finanční újmy nebo dokonce protiprávního jednání.

Abstract:

You are approaching a thesis that treats the issues of exchange operations. The exchange bill is becoming one of the most frequent financial tools, but the users‘ knowledge in terms of its application often lacks behind. With respect to its use both for the commercial and private purposes, a number of minor, yet fundamentals differencies forming the subject of this work are to be considered to protect the reader against its possible misapplication. To make the reader also well-oriented initially, the matter of the exchange bill is introduced from the global point of view, from the history of its origin, related basic inherent terminology and the origin of the exchange obligation. The attention is mainly focused on the abstract quality of the exchange bill and also on its conception as a credit obligation. Following the analysis of some selected exchange activities, the thesis further deals with the dual view of the exchange bill as a payment instrument and, in contrast, as a form of security. It points out, to a large extend, the difficulties with providing guarantees, exchange aval and with transferring of debts, area which is exemplified with some juidicial cases to illustrate the essence of the exchange matters. This thesis also lists the positive and negative aspects of the bill exchange as a kind of security. In the last chapter the thesis deals with the prospects of the actual changeover from the Czech currency to Euro and challenges the recommendations stemming from some changes in this area that are expected to come. The thesis obviously tries presenting the exchange bill in its various forms and expanding the public consciousness of it. Any user not sufficiently familiarized with this financial tool is, according to the motto: Ignorance of the law is no excuse, potentionally subject to a financial loss or even illegal dealing.
