Acqusition of Pilulka Lékárny, a.s. from perspective of Private Equity investor

Abstract:

Diplomová práce se zaměřuje na stanovení investiční hodnoty společnosti Pilulka Lékárny, a.s. z pohledu privátního investora. Teoretická část se věnuje vymezení pojmu private equity a rozlišuje jeho formy na základě typů akvírovaných společností a kategorií prováděných transakcí. Dále se teorie zabývá byznys modelem private equity, v rámci kterého mimo jiné popisuje životní cykly fondů, investiční proces a vývoj tohoto odvětví. Praktická část provádí analýzy potřebné k následnému ocenění společnosti. Nejprve analyzuje okolí prostřednictvím PESTLE, Porterova modelu pěti sil, či analýzy odvětví, jejichž výstupy následně využívá k sestavení generátorů hodnot. Dále prostřednictvím finanční due diligence provádí nejběžnější analýzy, které rovněž využívá k sestavení generátorů hodnoty. Na základě zmiňovaných generátorů hodnot poté sestavuje finanční plán a společnost oceňuje dvěma oceňovacími metodami. Na závěr je navržena struktura akvizice.

Abstract:

Master‘s thesis focuses on determining the investment value of Pilulka Lékárny, a.s. from the perspective of private investor. The theoretical part is devoted to the definition of the concept of private equity and distinguishes its forms based on the types of acquired companies and categories of transactions. Furthermore the theory deals with business model of private equity and among other things describing the life cycles of funds, the investment process and the development of the industry. The practical part focuses on analysis necessary for the subsequent valuation of the company. First, it analyses the environment through PESTLE, Porter’s five forces model and industry analysis, the outputs of which are then used to construct value generators. Next it performs the most common analyses through financial due diligence, which it also uses to build value generators. Based on these value generators, it then draws up a financial plan and values the company using two valuation methods. Finally an acquisition structure is proposed.
