Abstract:

Tato diplomová práce je psaná na téma Fúze a akvizice společnosti. V teoreticko-metodologické části jsou vymezeny a vysvětleny základní pojmy vztahující se k uvedenému tématu. Společnosti, které prochází přeměnou, musí projít určitým procesem, který je popsán v postupu projektu přeměny. V souvislosti s tím je nutné postupovat dle platných zákonů. Zákony, které jsou s touto přeměnou spojeny, prošly novou právní úpravou a v kapitole právní kroky jsou tyto nejpodstatnější zákony a změny zaznamenány. Teoretická část je svou podstatou zaměřena na základní principy finančních ukazatelů a vybraného ukazatele měření výkonnosti společnosti. Praktická část je cílená na popis projektu fúze společností, jež touto proměnou prošly. Finanční analýza je provedena na základě výpočtů vybraných ukazatelů a jejich podrobnou analýzou jsou porovnány výsledky čtyřletého období před fúzí a po fúzi. Na základě těchto výsledků bude snaha dojít k závěru, že je společnost vhodná k dalšímu převzetí a fúzi jinou a mnohem větší společností.

Abstract:

This dissertation is written on the topic of mergers and acquisitions. In the theoretical part are defined and explained the basic concepts related to this theme. Companies that undergoes transformation must undergo a certain process, which is described in the procedure of the transformation project. In this context, it is necessary to proceed according to the law. Laws that are associated with this transformation, have passed new legislation and legal steps in the chapter are the most important laws and changes recorded. The theoretical part is inherently focused on the basic principles of financial ratios and selected indicators measuring the performance of the company. The practical part is focused on the description of the fusion of companies that have gone through this transformation. Financial analysis is made on the basis of calculations of selected indicators and their detailed analysis compares the results of the four-year period prior to the fusion and post-fusions. On the basis of these results will be to come to the conclusion that the company is suitable for further takeovers and mergers, and another much larger companies.
