Common certificates in limited liability companies

Abstract:

Bakalářská práce se zabývá kmenovým listem, právním institutem spojeným se společností s ručením omezeným. Kmenový list je cenným papírem, který vyjadřuje podíl na společnosti s ručením omezeným. V první části se práce věnuje základnímu vymezení cenných papírů, specifikuje, co kmenový list je, jaké jsou jeho druhy a dalším náležitostem, které jsou s ním spojené. Hlavní částí práce je druhá část, která se zabývá cílem práce. V třetí části je závěr, kde jsou shrnuty odpovědi na výzkumnou otázku a je potvrzena, či vyvrácena hypotéza práce. Cílem práce obsaženým ve druhé části, je vyzkoumat, jaká je praxe spojená s použitím kmenových listů, a jaké jsou teoretické meze využití kmenových listů v praxi. Dále se práce snaží nastínit výhody nebo naopak slabá místa tohoto institutu, porovnává ho s akcií, řeší rizika anonymizace a další. Tento hlavní cíl se promítá do zvolené výzkumné otázky, zda z hlediska právní úpravy existují nějaké důvody, které omezují vydání kmenového listu nebo jeho využití v praxi. Dílčím cílem práce je potvrdit, nebo vyvrátit hypotézu, která říká, že právní úprava kmenového listu je dostatečná pro jeho vydání.

Abstract:

The bachelor thesis addresses the common certificate, a legal institution associated with a limited liability company. A common certificate is a security paper that represents a share in a limited liability company. The first part of the thesis provides a basic definition of securities and specifies what a common certificate is, its types, and other requirements associated with it under the Business Corporations Act. The main part of the thesis is the second section, that focuses on the issue of common certificates. The third part is the conclusion, where the answers to the research question are summarized, and the hypothesis of the thesis is either confirmed or disproved. The aim of the thesis, which is included in the second part, is to explore the praxis associated with the use of common certificate and the theoretical limits of the use of share certificates in practice. Following that, the thesis attempts to outline the advantages or weaknesses of this institution, compares it to shares, discusses the risks of anonymization, and more. This main goal is reflected in the main research question, whether there are any legal reasons that limit the publishing of common certificates or its use in practice. A supplementary goal of the thesis is to confirm or disprove the hypothesis that the legal regulation of the share certificate is sufficient for its publishment.
