Definition of a Limited Liability Company According to the Business Corporations Act in Relation to the Legal Regulation Before and After 2012

Abstract:

Tato bakalářská práce je zaměřena na Vymezení společnosti s ručením omezeným podle Zákona o obchodních korporacích v souvislosti s právní úpravou před a po roce 2012. Cílem práce je zjistit, jaký dopad měl vznik zákona o obchodních korporacích na společnost s ručením omezeným v porovnání s předchozí právní úpravou. 2Teoretická část práce se věnuje odborným poznatkům o společnosti s ručením omezeným, se zaměřením na založení a vznik, zákonnou úpravu, na orgány společnosti a zrušení a zánik společnosti s ručením omezeným a zejména srovnání právní úpravy společnosti s ručením omezeným před a po roce 2012. V praktické části práce bylo za pomoci dotazníkového šetření, provedeném na jednatelích s.r.o., že nová právní úprava pozitivně ovlivnila podnikání v kontextu spokojenosti respondentů s touto právní úpravou.

Abstract:

This bachelor's thesis focuses on the definition of a limited liability company (s.r.o.) under the Business Corporations Act in relation to the legal regulations before and after 2012. The aim of the thesis is to determine the impact of the emergence of the Business Corporations Act on limited liability companies in comparison with the previous legal regulation. The theoretical part of the thesis is dedicated to expert knowledge about limited liability companies, focusing on their establishment and formation, legal regulation, company bodies, and the dissolution and termination of limited liability companies, with particular emphasis on comparing the legal regulations before and after 2012. In the practical part of the thesis, a questionnaire survey conducted among managing directors of s.r.o. revealed that the new legal regulation positively influenced business in the context of respondents' satisfaction with this legal regulation.
