Descriptive analysis of transformations carried out in the Czech Republic

Abstract:

Tato diplomová práce se zabývá přeměnami obchodních společností provedenými v České republice. Práce se skládá z teoretické a praktické části. Teoretická část, kterou práce začíná, přibližuje jednotlivé druhy přeměn, relevantní zákony, obecné náležitosti provedení přeměny a účetní a daňová specifika. V praktické části je analyzovaný vzorek přeměn zveřejněných v obchodním věstníku v letech 2016 a 2017. V jeho rámci byly shromažďovány informace o druhu přeměny, počtu účastníků, stanovení klíčových dnů, vykazování účetních položek a další. Takto získané informace jsou srovnány mezi sebou, s cílem přiblížit, jak ve skutečnosti přeměny probíhají a zjistit, jestli se shodují s informacemi z teoretické části. Na závěr praktické části jsou pak přiblíženy vybrané přeměny, které se nějakým způsobem vymykají ze zbytku, ať už svojí neobvyklostí, nebo rozporem s platnou legislativou.

Abstract:

This diploma thesis deals with transformations of companies carried out in the Czech Republic. The work consists of a theoretical and a practical part. The theoretical part, which the work begins with, provides an overview of individual types of transformations, relevant laws, general requirements for the execution of a transformation and accounting and tax specifics. In the practical part, a sample of transformations published in the business bulletin in 2016 and 2017 is analysed. In its framework, information was collected on the type of transformation, number of participants, determination of key days, reporting of accounting items and others. The information obtained in this way is compared with each other, with the aim of getting to know, how the transformations actually take place and to find out if these findings match the information from the theoretical part. At the end of the practical part, selected transformations that stand out from the rest in some way, either because of their unusualness or in contradiction with the applicable legislation, are presented.
