Abstract:

Tématem této bakalářské práce je problematika uzavírání kupní smlouvy a smlouvy o dílo dle občanského zákoníku z praktického pohledu u realizace stavby a následných nákupů. V teoretické části práce bude proveden rozbor jednotlivých právních předpisů souvisejících s tímto tématem, vysvětlení jednotlivých smluvních ustanovení jako například předmět díla a jeho cena, práva a povinnosti smluvních stran, vady a nedodělky díla, záruční podmínky a další ustanovení. V aplikační části práce bude provedena analýza kupní smlouvy a smlouvy o dílo společnosti VODÁRNA PLZEŇ a.s. Práce bude spočívat v popisu jednotlivých náležitostí smluv, práv a povinností smluvních stran, přinese rozlišení a vztah mezi smlouvou o dílo a kupní smlouvou. V závěru práce bude provedena analýza smluvních nedostatků a vad, vymezení nejčastějších chyb při uzavírání smluv a návrhy a doporučení pro zlepšení uzavírání smluv v podnikatelské praxi.

Abstract:

This bachelor´s thesis deals with concluding of a purchase contract and a contract for work under the Civil Code from a practical point of view of the realization of the construction and the subsequent purchases. The theoretical part of the thesis involves the analysis of the particular legal regulations related to this topic, as well as the explanation of the particular contract provisions, e.g. a subject matter of the contract for work and its value; rights and obligations of contracting parties; defects and backlogs of the work; guarantee conditions; and other provisions. The practical part of the thesis analyses the purchase contract and the contract for work of the company VODÁRNA PLZEŇ a.s. This part comprises the description of the particular requirements of the contracts, as well as the description of rights and obligations of the contracting parties. Its aim is also to explain both distinction and relation between the purchase contract and the contract for work. The closing part of the present thesis analyzes the contractual imperfections and defects, defines the most common mistakes in contracting and makes suggestions and recommendations to improve contracting in the business practice.
