Analysis of Issues of the Sale of a Business or Part thereof in Relation to its Evaluation

Abstract:

Diplomová práce si klade za cíl analyzovat a zmapovat problematiku prodeje podniku nebo jeho části ve všech důležitých oblastech s důrazem na jeho ocenění s následným oceněním vybraného podniku pomocí zvolených metod. První část práce je zaměřena na přípravnou fázi před samotným prodejem podniku či jeho části, jsou zde uvedeny možné důvody pro prodej podniku, podstatné kroky prodávajícího, které by se neměly opomíjet, a alternativní možnosti kromě prodeje podniku. Další část je soustředěna na právní problematiku, která je pro transakci velmi podstatná. Zmíněna jsou také účetní specifika související s prodejem podniku nebo jeho části na straně prodávajícího i na straně kupujícího. Nezbytnou součástí je rozbor základních přístupů a metod oceňování včetně jeho doporučovaného postupu, kdy jsou vybrané metody v závěrečné části práce aplikovány na zvolený podnik a vypočítána jeho hodnota.

Abstract:

Diploma thesis aims to analyze and map the issue of the sale of a company or its part in all important areas, with emphasis on the evaluation followed by the evaluation of the chosen company by using the selected methods. The first part is focused on the preparatory phase prior to the actual sale of the company or its part. Possible reasons for selling the company are mentioned in this part as well as essential steps of the seller, that should not be ignored, and alternative options besides selling the company. Another part is focused on the legal issue that is significant for the transaction. In this part are mentioned accounting specifics related to the sale of a company or its part on both sides, the seller and the buyer. Essential part of this thesis is the analysis of the basic approaches and evaluation methods, including the recommended procedure. In the final part are the selected methods applied to the chosen company and its value is calculated.
