Abstract:
Diplomová práce popisuje základní charakteristiky akciových společností jako jsou základní kapitál, práva a povinnosti akcionářů. Hlavní část popisuje rozdíly mezi právní úpravou národních akciových společností a Societas Europae. Závěrečné kapitoly pojednávají o možnostech přeshraničních fúzí a přemístění sídla obchodních společností.

The diploma thesis describes fundamental characterics of joint stock companies like regulations governing an minimal amount of registered capital, basic rights and duties of shareholders. Main part includes description of differences in legal rules governing Socitas Europae and czech public limited liability company.
