Abstract:

Tato diplomová práce se zabývá transparentností akciových společností se zaměřením na související problematiku listinných akcií na majitele. Cílem práce je poskytnout detailní rozbor nové právní úpravy v zákoně č. 134/2013 Sb., o transparentnosti akciových společností v kontextu rekodifikace, analyzovat důvody jejího přijetí a zhodnotit, zda nová právní úprava naplnila očekávané požadavky. Práce rovněž poukazuje na možné způsoby netransparentního vlastnictví akcií, z nichž některé přináší zákon č. 89/2012 Sb., občanský zákoník.

Abstract:

The diploma thesis deals with transparency of limited companies focusing on a related topic of bearer shares in paper form. The aim of the thesis is to provide a detailed analysis of the new legal regulation contained in the Act No. 134/2013 Coll., on the Transparency of Limited Companies in relation with the re codification of Czech civil law. The goal of the thesis is also to analyse reasons for adoption of the new legal regulation and to evaluate whether the new legal regulation met required expectations. The thesis as well points at possible ways of non-transparent share ownerships, when some of them are produced by the Act No. 89/2012 Coll., The Civil Code.
