Business companies and their registration in the commercial register

Abstract:

The aim of my bachelor´s thesis is, based on the analysis of the procedure of business companies registration in the commercial register, to point out the activity of the commercial register, the importance of its existence and the effect of the legislative changes regarding the commercial register on the business sphere. In scope of the first chapter we will have a glace into the history of business companies, we will define the concept of a business company, will list the characteristic features, structure and briefly specify the basic data specifically to each business company and will define it. In the second chapter we will define the basic concepts of the commercial register, legal modification, functions, publicity of the commercial register and documents´ digest. In the third chapter, where we analyse the process of an entry in the introduction we define the parties of the process, entered data and analyse the process of entry of business companies into the commercial register. In the conclusion of the third chapter we digestedly list the statistical data in tables which we amend by suitable charts.

Katedra ekonómie, oceňovania, spoločenských vied a práva. Vedúci práce: JUDr. Adriána Palajová. Rok obhajoby: 2013. Počet strán: 55. Anotácia Cieľom bakalárskej je na základe analýzy postupu registrácie obchodných spoločností do obchodného registra, poukázať na činnosť obchodného registra, dôležitosť jeho existencie a vplyv legislatívnych zmien týkajúcich sa obchodného registra na podnikateľskú sféru. V rámci prvej kapitoly nahliadneme do histórie obchodných spoločností, vymedzíme pojem obchodná spoločnosť, uvedieme charakteristické znaky, členenie a stručne uvedieme základné údaje konkrétne ku každej obchodnej spoločnosti a definujeme ju. V druhej kapitole vymedzíme základné pojmy obchodného registra, právnu úpravu, funkcie, verejnosť obchodného registra a zbierku listín. V tretej kapitole, kde analyzujeme priebeh zápisu v úvode zadefinujeme účastníkov konania, zapisované údaje a analyzujeme priebeh zápisu obchodných spoločností do obchodného registra. V závere tretej kapitoly prehľadne uvedieme štatistické údaje v tabuľkách, ktoré doplníme vhodnými grafmi.
