Abstract:

Tato diplomová práce na téma „Aktuální trendy v Corporate Governance“ se zabývá identifikací, popisem a zhodnocením aktuálních problémů a trendů ve vývoji Corporate Governance, tedy v řízení a správě společností. Je zaměřena především na změny v dané oblasti v souvislosti s poslední finanční krizí, která odhalila některé nedostatky a selhání v řízení společností. Vychází z trendů, jak byly identifikovány především na komunitární úrovni v rámci Zelené knihy týkající se evropského rámce Corporate Governance vydané 5. 4. 2011 a také v rámci Zelené knihy zahrnující Corporate Governance ve finančních institucích a politiku odměňování ze dne 2. 6. 2010. Podrobněji se zabývá především nezávislostí členů rad, odměňováním, možnostmi, které skýtá právní forma evropské společnosti, Corporate Social Responsibility a nakonec požadavkem na zastoupení žen ve správních orgánech.

Abstract:

This thesis on the theme „Current Trends in Corporate Governance“ focuses on the identification, description and assessment of the current problems and trends in the development of the Corporate Governance, which means in the development of the way how the companies are directed and governed. It concentrates mainly on the changes in the respective sphere connected with the latest financial crisis which revealed certain insufficiencies and failures of the Corporate Governance. The thesis stems from the trends identified above all on the European level in terms of the Green Paper concerning the EU corporate governance framework issued on the April 5, 2011 and the Green Paper regarding the Corporate Governance in financial institutions and remuneration policies as of June 2, 2010. It focuses to the more details above all on the independence of the boards members, remuneration, possibilities provided by the legal form of the European company (SE), Corporate Social Responsibility and last but not least the demand of the women representation in the boards.
