Concept of a commercial name in Czech law

Abstract:

Pro svou diplomovou práci jsem si zvolil téma, které je ryze právní, a to „Pojem obchodní firma v českém právním řádu“. Obchodní firma je institut, se kterým se každý z nás dnes a denně potkává ve všech sférách svého života. I přes tuto skutečnost je obchodní firma mezi běžnými občany mnohdy chápána nepřesně, ne-li přímo chybně. Obchodní firma je názvem podnikatelů, kteří jsou zapsáni v obchodním rejstříku – oni jsou povinni pod ní činit veškeré své právní úkony. Zároveň podnikatelé, kteří nejsou zapsáni v obchodním rejstříku, činí právní úkony pod názvem či jménem, které není obchodní firmou. Obchodní firmě jsou věnována ustanovení paragrafů 8 až 12 obchodního zákoníku, v nichž jsou stanovena závazná pravidla tvorby obchodní firmy, jejího přechodu a převodu a také její ochrany. Všemi právě uvedenými tématy se budu ve své práci zabývat. Touto prací bych chtěl přispět ke správnému chápání tak základního právního pojmu, jakým obchodní firma je.

Abstract:

I chose as a subject-matter of my thesis „The concept of a commercial name in Czech law”. A commercial name is an institute with which is everyone in daily contact. Despite this fact a commercial name is quite often used and understood in a wrong meaning. A commercial name is the designation under which entrepreneurs are registered in the Commercial Register – these entrepreneurs shall undertake acts-in-law under their commercial names. At the same time, entrepreneurs who are not recorded in the Commercial Register, enter their legal acts under the designation that is not “a commercial name”. The provisions of Sections 8 to 12 of the Commercial Code are devoted to a commercial name. These provisions regulate obligatory rules of creation of a commercial name and of its transfer and they also regulate the protection of it. On the following pages of my thesis, I will deal with each of just mentioned issues. This is the way I would like to contribute to proper understanding of the meaning of such a basic concept, which a commercial name is.
