Mergers and Acquisitions in the Corporate Sector during the Financial Crisis

Abstract:

Problematika fúzí a akvizic je specifický obor, který zahrnuje jak ekonomické sounáležitosti vztahující se ke spojování podniků, tak i legislativní prostředí, v němž ke spojování podniků dochází. Fúze a akvizice jsou vnímány od konce devatenáctého století, jejich uskutečňování postupuje ve vlnách a je velmi úzce spjato s růstem či poklesem světové ekonomiky. Slabý hospodářský růst rozvinutých ekonomik nutí finanční investory k tomu, aby při hledání příležitostí k dosahování zisků diverzifikovali na nové trhy. Cílem této práce je uvedení do problematiky fúzí a akvizic, seznámení s vývojem a vlnami fúzí a akvizic z celosvětového hlediska. Dále se zaměřuji na fúze obchodních společností ve vlastnictví jediného akcionáře, jímž je statutární město Brno. Jsou uvedeny již zrealizované fúze daného akcionáře. Hlavním cílem této práce je analýza proveditelnosti fúze a sdělení doporučení, zda zamýšlenou fúzi realizovat.

Abstract:

The issue of mergers and acquisitions constitutes a specific subject, covering both economic background, related to the concentration of companies, and legislative environment, in which such concentration occurs. Mergers and acquisitions are known since the end of the 19th century, their implementation proceeds in waves; mergers and acquisitions are very closely linked with the global economy growth or decline. A weak economic performance of developed economies forces financial investors to diversify their activities into new markets in search for opportunities to generate their profits. The objective of this work is the introduction to the issue of mergers and acquisitions, introduction to development and waves of mergers and acquisitions from the global point of view. Furthermore, I concentrate on mergers of trading companies in the ownership of the sole shareholder, being the statutory city of Brno. Already completed mergers of this particular shareholder are outlined. The main objective of this work is the analysis of feasibility of merger and recommendation as whether to do such planned merger.
